1. Acceptance of Terms

By accessing our website or engaging DevriX Digital for services, you confirm that you have read, understood, and agree to these Terms of Service. If you do not agree, please do not use our services.

These terms apply to all clients, visitors, and others who access or use our services.

2. Services We Provide

DevriX Digital provides digital agency services including, but not limited to:

• WordPress development and maintenance
• UI/UX design and prototyping
• Frontend and backend development
• Shopify development and e-commerce solutions
• Cloud infrastructure and DevOps services
• AI-assisted digital solutions

The specific scope of services, deliverables, timelines, and pricing are defined in individual project proposals or statements of work agreed upon before work begins.

3. Intellectual Property

Upon receipt of full payment, all custom work created specifically for a client project becomes the property of the client. This includes designs, code, and content developed exclusively for that engagement.

DevriX Digital retains the right to:

• Display completed work in our portfolio unless explicitly agreed otherwise
• Retain ownership of any pre-existing tools, frameworks, libraries, or proprietary code used in the development process
• Reuse generic components, templates, or methodologies developed independently of the client project

Third-party assets, plugins, or software used in your project are subject to their respective licences.

4. Client Responsibilities

To ensure a smooth project delivery, clients are responsible for:

• Providing accurate, complete, and timely content, assets, and feedback
• Nominating a single point of contact with decision-making authority
• Reviewing and approving deliverables within agreed timeframes
• Ensuring all content provided does not infringe third-party rights
• Maintaining secure access credentials for any systems we are given access to

Delays caused by late feedback or missing content may affect timelines and could incur additional costs.

5. Payment Terms

Payment terms are outlined in each project proposal. General terms include:

• A deposit (typically 50%) is required before work commences
• Remaining balance is due upon project completion or as per agreed milestones
• Invoices are payable within 14 days of issue unless otherwise agreed
• Late payments may incur interest or result in work being paused

All prices are in USD unless stated otherwise. DevriX Digital reserves the right to withhold delivery of final files until all outstanding payments are received.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This includes business strategies, technical details, pricing, and client data.

We will not disclose your confidential information to third parties without your consent, except where required by law or necessary to deliver the agreed services (e.g. subcontractors under equivalent confidentiality obligations).

7. Limitation of Liability

DevriX Digital provides services on an "as-is" basis and makes no guarantees regarding specific business outcomes, search rankings, or revenue generated from our work.

To the maximum extent permitted by law, DevriX Digital shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of revenue, data, or business opportunities
• Issues arising from third-party services, plugins, or platforms
• Downtime caused by hosting providers or infrastructure outside our control

Our total liability in any matter shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

8. Termination

Either party may terminate a project engagement with written notice. In the event of termination:

• The client is responsible for payment of all work completed up to the termination date
• DevriX Digital will deliver all completed work upon receipt of outstanding payment
• Deposits are non-refundable unless DevriX Digital is unable to commence work

DevriX Digital reserves the right to terminate an engagement immediately if a client acts in breach of these terms, engages in abusive behaviour, or requests work that is illegal or unethical.

9. Governing Law

These Terms of Service are governed by applicable law. Any disputes arising from our engagement will be resolved through good-faith negotiation in the first instance. If unresolved, disputes may be referred to mediation or arbitration before any legal proceedings are initiated.

10. Changes to These Terms

We may update these Terms of Service from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our services after changes are posted constitutes your acceptance of the updated terms.

For active project engagements, the terms in place at the time of project commencement apply unless both parties agree in writing to updated terms.
